Terms of Service

The staffwire.com website and applications ("Services") are operated by Staff Wire LLC ("Staff Wire"). By using them you are agreeing to be bound by the following terms and conditions ("Terms of Service").
Staff Wire reserves the right to update and change the Terms of Service from time to time without notice. Continued use of the Services after such changes constitute your consent to such changes. You can review the most current version of the Terms of Service at any time at: http://www.staffwire.com/terms. Any new features, tools, or resources that augment the Services, are subject to the Terms of Service.
Violation of any of the terms below may result in the termination of your Account. While Staff Wire prohibits such conduct and Content on the Service, you understand and agree that Staff Wire cannot be responsible for the Content posted on the Service and you nonetheless may be exposed to such Content. You agree to use the Services at your own risk.
  • You must provide your legal full name, a valid email address, and any other information requested in order to complete the company account ("Company Account") creation process.
  • Your Company Account creation or usage must not be through an automated method of any kind, other than by programming interfaces documented by the Services.
  • Each user account ("User Account") created by your Company Account may only be used by one person -- a single User Account shared by multiple people is not permitted. You may create separate User Accounts for additional people.
  • Each person with a User Account must be 13 years or older to use the Services.
  • Each person with a User Account is responsible for maintaining the security of their User Account password and ensuring they exit from the account at the end of each session. Staff Wire will not be liable for any loss or damage from your failure to comply with this security obligation.
  • You are responsible for all Content posted and activity that occurs on your Company Account (including by User Accounts created by your Company Account).
  • You may not use the Services for any illegal or unauthorized purpose. You must not, in the use of the Services, violate any laws in your jurisdiction including copyright laws.
Content Ownership
  • Staff Wire claims no intellectual property rights over the Content you provide to the Service. Your Company Account schedules, profiles, communications, and any other related Content uploaded remain yours.
  • A valid credit card is required to be on file for each active non-trialling Company Account.
  • The Services are billed in advance on a monthly basis. The credit card on file is charged at the beginning of each monthly term. Failed charges are reattempted shortly thereafter.
  • There will be no refunds or credits for months unused with an active Company Account, or for partial months with a cancelled or terminated Company Account
  • You are responsible for paying all applicable taxes, if any, relating to use of the Services.
  • Adding a credit card in the Account Settings module during a trial period will not affect the length of the trial. You will be billed for your first month after the end of the trial period.
Cancellation and Termination
  • You can cancel your Company Account at any time. When you do so before the end of your current paid month, your cancellation will take effect immediately and you will not be charged again.
  • You are solely responsible for properly canceling your Company Account by clicking on the Deactivate button on the General tab from the Account Settings module.
  • All of the Content from your Company Account will be deleted from the Services shortly after cancellation. Staff Wire will not accept any liability for loss of your Content.
  • Staff Wire, in its sole discretion, has the right to terminate your Company Account and refuse any and all current or future use of the Services at any time. Such termination will result in the deactivation or deletion of your Company Account, and the forfeiture and relinquishment of all Content in your Company Account. Staff Wire reserves the right to refuse service to anyone for any reason at any time.
Service Modifications
  • Staff Wire reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, any or all Services with or without notice.
  • Prices of all Services, including but not limited to monthly subscription plan fees, are subject to change upon 30 days notice from Staff Wire. Such notice may be provided at any time by posting the changes to the Staff Wire website (www.staffwire.com) or in the Services themselves.
  • Staff Wire shall not be liable for any modification, price change, suspension or discontinuance of the Services.
  • Your use of the Services is at your sole risk. The service is provided on an "as is" and "as available" basis.
  • Staff Wire does not warrant that (i) the Services will meet your specific requirements, (ii) the Services will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the Services will be accurate or reliable, and (iv) any errors in the Services will be corrected.
Limitation of Liability
  • Staff Wire shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Staff Wire has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Services; (ii) inaccuracy of employee information, communications, and scheduling data for your Company Account; (iii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Services; (iv) unauthorized access to or alteration of your transmissions or data; (v) statements or conduct of any third party on the Services; (vi) or any other matter relating to the Services.
  • Where jurisdictions do not allow the exclusion of implied warranties or limitation of liability, Staff Wire's liability is limited to the greatest extent permitted by law.
  • You agree to hold harmless and indemnify Staff Wire, its affiliates, licensors, business partners, and service providers, and their respective officers, employees, agents and representatives from and against any claims, liabilities, costs or damages, including reasonable attorneys' fees, arising from your use of the Services or any violation of these Terms and Conditions by you.
General Conditions
  1. You understand that to use the Services you must obtain access to the World Wide Web, and pay any service fees associated with such access.
  2. Technical support is available via email to active or trialling Company Accounts.
  3. You must not modify, adapt or hack the Services or modify another website so as to falsely imply that it is associated with the Services or Staff Wire.
  4. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Services, use of the Services, access to the Services, or any portion of the code or visual design elements without the express written permission by Staff Wire.
  5. Staff Wire may, but has no obligation to, remove Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party's intellectual property or these Terms of Service.
  6. You understand that Staff Wire uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Services.
  7. You understand that the technical processing and transmission of the Service, including your Content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
  8. You must not upload, post, host, or transmit unsolicited email, SMS messages, or "spam" messages.
  9. If your bandwidth usage significantly exceeds the average bandwidth usage of other Staff Wire customers (as determined by Staff Wire), we reserve the right to immediately deactivate your Company Account or throttle it until you can reduce your bandwidth consumption.
  10. The failure of Staff Wire to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and Staff Wire and governs your use of the Services, superseding any prior agreements between you and Staff Wire (including any prior versions of the Terms of Service).
